Broker Terms

• You must be a genuine shipbroker or chartering business and have authority to bind the company named in your profile.
• The company details and sending addresses you register must be accurate, belong to you, and be kept up to date.

• You receive a private email address for submitting cargo requests. Keep it confidential. You can generate a new one at any time from the broker portal.
• You are responsible for all content sent to that address from your registered sending addresses.
• Requests are published automatically. They are matched against other users' alarms, and may be shown on the dashboard, map, analytics and fleet views.

You keep ownership of the cargo requests and other content you submit (“Broker Content”). You grant Resitech Ltd a worldwide, non-exclusive, royalty-free licence to store, parse, reformat, display, distribute to users, and use Broker Content (including in aggregated or anonymised form) to operate and improve the Platform. This licence continues for content already published if your account ends.

You confirm that Broker Content:

• is genuine and that you are entitled to circulate it, with any required consent from your principals;
• does not breach any confidentiality obligation, law, sanctions regime or third-party right;
• contains no malware, spam or personal data you are not entitled to share.

Resitech Ltd does not review, verify or endorse Broker Content and is not responsible for its accuracy, completeness, legality or validity. Responsibility for the content of every request rests with the broker who sent it.

• Automated parsing may display your content incorrectly or incompletely. You should check how your requests appear and contact us about errors, but Resitech Ltd is not liable for parsing errors.
• You must withdraw or correct requests that are no longer valid, for example once fixed or withdrawn.
• Resitech Ltd may edit, hide or remove any content at its discretion, without notice and without liability.

• Unverified brokers may publish requests free of charge.
• Verified brokers pay US$500 per month (excluding taxes), payable in advance for the period chosen. Verification includes Pro data access.
• Verification is a basic check of your identity and company, carried out at Resitech Ltd's discretion. The verified badge confirms only that check and an active subscription. It is not an endorsement of you or a guarantee of your requests, and you must not present it as one.
• Verification lapses automatically at the end of the paid period. Resitech Ltd may refuse, suspend or revoke verification for breach of these terms or if your details change. Changing your company name sends your account back for review.
• Fees are non-refundable except where the law requires, or where we revoke verification without cause, in which case we refund the unused part of the period.

Resitech Ltd is not a party to, and does not arrange, negotiate or guarantee, any charter, fixture or commission between you and any user. Commissions, payments and disputes are solely between you and the parties concerned. Your contact details are masked on the Platform; we do not guarantee that any enquiry or business will result from your listings.

You must comply with all applicable laws, including sanctions, anti-bribery, competition and data-protection laws, in connection with your Broker Content and your dealings with users.

The disclaimers and limitations of liability in the Terms of Use apply to you as a broker. In addition, Resitech Ltd is not liable for any loss caused by the publication, omission, parsing, display, removal or use by others of Broker Content.

You will indemnify Resitech Ltd against any claims, losses, fines and costs arising from your Broker Content, your breach of these Broker Terms, or your dealings with users or third parties.

You may close your broker account at any time. Requests already published may remain visible without your company name. Resitech Ltd may suspend or terminate your broker account for breach of these terms.

We may update these Broker Terms and will ask you to accept material changes before you continue. They are governed by the laws of the Republic of Cyprus. Contact: legal@seabridge.exchange.
